Terms of Service

These Terms of Service ("Terms") govern access to and use of Vantrix Logistics (the "Service"), including the application at app.vantrixlogistics.com and our website at vantrixlogistics.com, owned and operated by RBM Business Holdings Inc. ("Vantrix," "we," "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the business you represent ("you" or "your workspace").

1. The Service

Vantrix is a fleet, dispatch, customer, and billing management console for small and medium logistics businesses. Features and their availability may change as the Service develops; we'll do our best to give notice of changes that materially reduce functionality you rely on.

2. Accounts and workspaces

  • You must provide accurate information when creating an account and keep your login credentials confidential.
  • Each workspace has an owner and may have additional team members with roles the owner assigns. The workspace owner is responsible for who they invite and what access those members are given.
  • You're responsible for all activity that occurs under your account, whether or not you performed it yourself.

3. Subscription, trial, and billing

  • New workspaces start on a trial period. We'll tell you in-app how long it lasts and what happens when it ends.
  • Paid subscriptions are billed by invoice on a recurring basis, with payment collected through our payment processor(s). It is your responsibility to pay invoices by their due date.
  • If an invoice goes unpaid, we may restrict or suspend access to your workspace until payment is received. We'll always leave your data intact during a billing suspension — restricting access is not the same as deleting your account.
  • Fees are exclusive of applicable taxes unless stated otherwise. Except where required by law or expressly stated at the time of purchase, fees are non-refundable.
  • We may change pricing for future billing periods with reasonable advance notice.

4. Your data

You retain ownership of the business data you or your team enter into the Service — customer records, dispatches, invoices, fleet information, and similar content ("Customer Data"). We use Customer Data only to provide, maintain, and improve the Service for you, and as described in our Privacy Policy. You're responsible for having the right to submit any Customer Data you upload, including your own customers' contact information.

5. Third-party integrations

The Service lets you store API credentials for third-party telematics and dashcam providers (for example Samsara, Motive, Geotab). Those credentials are encrypted at rest. As of this version, the Service stores these credentials for future use but does not automatically retrieve data from those providers — we'll update this policy and the relevant in-app description if and when that changes. You're responsible for complying with your agreement with any third-party provider whose credentials you add.

Outlook email sync. Each user may choose to connect their own Microsoft 365 or Outlook mailbox. When they do, the Service reads new messages in that mailbox's Inbox (read-only) and files details of messages to or from your customers and deal contacts on the matching records; other messages are not stored, as described in our Privacy Policy. By connecting a mailbox, you confirm you're authorized to do so under your organization's policies and your agreement with Microsoft. Synced email becomes Customer Data visible to your workspace. A user can disconnect their mailbox at any time.

Google Maps. The live fleet map uses a Google Maps API key your workspace provides. Your use of the map is also subject to Google's terms, and you're responsible for your Google Cloud account and any usage charges Google bills for your key.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any third party's rights;
  • Attempt to gain unauthorized access to another workspace's data;
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it despite this restriction;
  • Interfere with or disrupt the integrity or performance of the Service, including by attempting to bypass rate limits or security controls;
  • Resell or provide the Service to third parties as your own product without our prior written consent.

7. Ownership and intellectual property

Vantrix Logistics — including all software, source code, databases, design, user interfaces, documentation, and the "Vantrix" and "Vantrix Logistics" names and logos — is the exclusive and proprietary property of RBM Business Holdings Inc. and is protected by United States and international copyright, trademark, trade-secret, and other intellectual-property laws. Nothing in these Terms transfers any ownership interest in the Service to you.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own business operations during your subscription. You may not copy, modify, distribute, sell, sublicense, or create derivative works from any part of the Service, and you may not remove or obscure any proprietary or copyright notice. All rights not expressly granted to you are reserved by RBM Business Holdings Inc.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or fully secure.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANTRIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

10. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access for non-payment, breach of these Terms, or conduct that we reasonably believe harms the Service or other users. Following termination, we'll provide a reasonable window to export your Customer Data before it's deleted, except where we're required to delete it sooner by law.

11. Changes to these Terms

We may update these Terms from time to time. We'll update the effective date above when we do, and for material changes we'll make a reasonable effort to notify account owners directly.

12. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, unless a different jurisdiction is required by applicable law.
